Uno Minda has allotted 1,99,260 equity shares of the face value of Rs. 2/- each, pursuant to the exercise of options by the grantees under Uno Minda Employees Stock Option Scheme, 2019.

The paid-up equity share capital of the company stands increased from Rs. 115,35,41,166 to Rs. 115,39,39,686.

The board has cleared the acquisition of Buehler Motor GmbH?s entire 49.9% stake in Uno Minda Buehler Motor for Rs 10.64 lakh, converting the joint venture into a wholly owned subsidiary. The entity manufactures traction motors for electric two- and three-wheelers.

With the buyout, the existing joint venture agreement between the two companies will be terminated. Uno Minda said the subsidiary will enter into an amended technical licence agreement with Buehler, and the company does not expect any material impact on operations following the JV?s dissolution.

The board has also approved an investment of up to Rs 40 crore in UnoMinda EV Systems, its wholly owned subsidiary that manufactures EV-specific components. The funds will be infused in tranches to support the unit?s working capital needs.

The announcement was made after a board meeting held on 1 December 2025.

Consolidated revenue from operations came in at Rs 4,814 crore, up 13% year-on-year and 9% sequentially. The growth was driven by multiple segments led by switches, lighting, casting & seating business.

EBITDA rose 14% YoY to Rs 552 crore compared with Rs 482 crore last year and 16% sequentially, while the EBITDA margin improved by 10 basis points YoY to 11.46% and by 73 bps QoQ.

Profit before tax increased 20% YoY and 22% sequentially to Rs 346 crore, while profit after tax (PAT) grew 27% YoY and 27% QoQ to Rs 304 crore, compared with Rs 239 crore in Q2 FY25 (excluding exceptional income) and Rs 239 crore in Q1 FY26. The PAT margin expanded 26 bps YoY and 63 bps sequentially to 5.39%.

Net profit of Uno Minda rose 24.07% to Rs 303.99 crore in the quarter ended September 2025 as against Rs 245.01 crore during the previous quarter ended September 2024. Sales rose 13.41% to Rs 4814.03 crore in the quarter ended September 2025 as against Rs 4244.79 crore during the previous quarter ended September 2024.
