In a regulatory filing made after market hours yesterday, the company informed that its step- down subsidiary, Strides Pharma International AG (SPIAG) has entered into definitive agreements with Sandoz AG, Switzerland, for the acquisition and in-licensing of a portfolio of branded generic products across Sub Saharan Africa (SSA).

The agreement spans four key markets, which include Western Sahara (covering 10 countries), Ghana, Nigeria, and Kenya.

The branded generics portfolio of Sandoz, as a part of this deal, includes multiple brands across anti-infective, cardiovascular, and dermatology therapeutic segments.

Several of these products individually deliver annual sales exceeding $1 million, reflecting their established brand equity and market demand.

The transaction includes a portfolio comprising products that are being fully acquired by Strides, as well as select products that Strides will continue to market on behalf of Sandoz.

To ensure the uninterrupted availability of these critical brands, Strides will also enter into a manufacturing and supply agreement with Sandoz for their continued production and supply.

With the combined strength of Strides? existing business and the branded portfolio being acquired from Sandoz, Strides is expected to become one of the top five pharmaceutical companies in the SSA region by sales and among the top two players in the representable market.

Strides Pharma further said that the initial consideration for the transaction is $12 million, payable at closing and is expected to be funded through internal accruals. The arrangement also provides for yearly royalty payments to the Sandoz based on a percentage of net sales for the distribution products.

The transaction is expected to be EPS accretive, supported by profitable branded sales, synergy realisation, and improved operating leverage.

The transaction is expected to close by the end of Q2 FY27 (quarter ending 30 September 2026), subject to customary closing conditions, including regulatory and antitrust approvals in applicable jurisdictions.

Strides Pharma Science announced that Strides Pharma Inc. (SPI), a step-down wholly owned subsidiary of the Company in the USA, has received the USFDA Inspection Closure Report (Establishment Inspection Report - EIR) for its Formulations Facility located at Chestnut Ridge, New York, USA.

The Facility was inspected by the United States Food and Drug Administration (USFDA) from 17 December 2025 to 23 December 2025. The inspection covered current Good Manufacturing Practices (cGMP) and included a pre-approval inspection for Drug-Device Combination capabilities, covering the Company's recent filing in Nasal Sprays domain.

Based on SPI's response to the Form 483 that was issued at the conclusion of the inspection, the USFDA has classified the inspection outcome as VAI (Voluntary Ac on Indicated). The EIR states that the inspection has been closed.

The Chestnut Ridge facility caters to the U.S. market and manufactures Liquids, Gels, Hormones, Modified Release products and Controlled Substances, supporting several current and future products for the U.S. market. The successful closure of this inspection including Device Combinations further strengthens the Company's U.S. business and near term growth prospects.

On a consolidated basis, profit after tax rose 131.14% YoY to Rs 208.12 crore in Q3 FY26 from Rs 90.04 crore a year ago. On a sequential basis, PAT rose 58.24% QoQ from Rs 131.52 crore.

Operational profit after tax rose 38.6% YoY to Rs 128.2 crore in Q3 FY26 from Rs 92.5 crore a year ago. On a sequential basis, operational PAT declined 8.6% QoQ from Rs 140.3 crore.

Revenue increased 3.6% YoY to Rs 1,194.6 crore in Q3 FY26 compared with Rs 1,153.7 crore in Q3 FY25. Sequentially, revenue declined 2.1% QoQ from Rs 1,220.8 crore. Revenue was impacted by low offtake in the institutional business and flattish US operations.

Gross profit rose 8.6% YoY to Rs 731.7 crore from Rs 673.5 crore. Gross margin expanded sharply to 61.2%, an improvement of 280 bps YoY and 340 bps QoQ.

EBITDA increased 12.2% YoY to Rs 235.9 crore in Q3 FY26 from Rs 210.3 crore, while rising 1.9% QoQ. EBITDA margin improved to 19.8%, up 160 bps YoY and 80 bps sequentially.

Ex-US market revenue stood at $64 million, registering a strong 20% YoY growth. Growth was led by other regulated markets and growth markets, which helped offset weak institutional demand and flat US performance. Management reiterated continued investments in sustainable long-term growth and announced the appointment of Peter Hardwick as CEO of the North America business.

Sales rose 3.55% to Rs 1194.65 crore in the quarter ended December 2025 as against Rs 1153.67 crore during the previous quarter ended December 2024.
