R Systems International has successfully completed the acquisition of Novigo Solutions (Novigo) on 13 November 2025. With this closing, Novigo is now a subsidiary of R Systems.

The completion follows the definitive agreement announced on August 21, after receiving all necessary regulatory approvals and satisfying customary closing conditions. Under the terms of the transaction, R Systems has acquired 100% equity in Novigo.

As integration begins, both organizations will move forward in a coordinated manner under a unified strategic direction. Novigo will continue delivering on its current commitments, while teams and processes are integrated gradually to ensure a smooth transition with no customer disruption. Profit before tax (PBT) rose 3.55% year-on-year to Rs 53.49 crore during the quarter ended 30 September 2025.

During the quarter, North America accounted for 73.41% of total revenue, followed by Southeast Asia with 13.79% and India with 2.93%.

Cash and bank balances, net of short-term borrowing as of 30 September 2025, were Rs 261.3 crore compared to Rs 196.1 crore as of 31 December 2024.
