The board of Hindware Home Innovation at its meeting held on 03 June 2026 has approved to acquire balance shareholding in Hintastica (joint venture) from Atlantic (joint venture partner).

Atlantic, which currently holds 5,48,787 equity shares of Hintastica, has informed the Company that it does not intend to participate in the Rights Issue, and has declined the rights issue offer. Further, having regard to the strategic and commercial implications of dilution of Atlantic's shareholding in Hintastica, Atlantic has informed the Company that it seeks to exit entirely from its investment in Hintastica by way of a sale of all of shares in Hintastica, to the Company and its nominee(s).

Accordingly, the Board of the Company has approved the execution of a Share Purchase Agreement (SPA) for the acquisition of 5,48,787 equity shares of Hintastica, for an aggregate consideration of approximately Rs 2,78,83,867/-.

The board of Hindware Home Innovation at its meeting held on 03 June 2026 has approved to make an investment of not more than Rs 15 crore by way of subscribing to the equity shares of Hintastica (a joint venture between the Company and Atlantic Soci?t? Fran?aise de D?veloppement Thermique, France (Atlantic) pursuant to rights issue offer made on 01 June 2026 by Hintastica.

Hindware Home Innovation announced that the 9th Annual General Meeting(AGM) of the company will be held on 18 August 2026.

Net Loss of Hindware Home Innovation reported to Rs 19.03 crore in the quarter ended March 2026 as against net loss of Rs 30.95 crore during the previous quarter ended March 2025. Sales declined 5.19% to Rs 662.73 crore in the quarter ended March 2026 as against Rs 699.02 crore during the previous quarter ended March 2025.

For the full year,net loss reported to Rs 39.68 crore in the year ended March 2026 as against net loss of Rs 68.29 crore during the previous year ended March 2025. Sales declined 0.50% to Rs 2510.28 crore in the year ended March 2026 as against Rs 2522.99 crore during the previous year ended March 2025.
