Shriram Pistons & Rings has entered into an Asset Purchase Agreement (APA) with Sunbeam Lightweighting Solutions (a wholly-owned subsidiary of Craftsman Automation) (Seller), for purchase of identified plant and machinery and related assets forming part of piston manufacturing line, on a piecemeal basis for a consideration of Rs 28 crore to enhance their piston manufacturing capacity, subject to the satisfaction of customary closing conditions.

Shriram Pistons & Rings has entered into a Share Purchase Agreement with Grupo Antolin Irausa, S.A.U. and Grupo Antolin Ingenieria, S.A.U. (collectively referred to as ?Sellers?) in relation to direct and indirect acquisition of all outstanding shares of the following companies:

- Antolin Lighting India (T1);
- Grupo Antolin India (T2); and The SPRL Group in line with its strategic objective of enhancing capabilities and expanding its presence in the automotive components industry, it has entered into the proposed transaction involving certain Grupo Antolin Companies. These entities are leading providers of automotive interior solutions, manufacture and sale of products such as headliner substrates, modular headliners and sunvisors, door panels, centre floor consoles, pillar trim, front-end carriers (exterior plastic part), overhead consoles, dome lamps, ambient lighting, touch panels, and capacitive pads to major Original Equipment Manufacturers (OEMs) across India.

Upon completion of the transaction, the SPRL Group will be able to expand into product areas independent of powertrain technologies, strengthen its position in the auto components industry, and create long-term value for stakeholders. As part of this proposed transaction, SPRL will enter into a Technology Licensing Agreement with Grupo Antolin to ensure continuous access to advanced technologies and support for new product development.

Revenue from operations rose 15.97% to Rs 1,016.50 crore in the quarter ended 30 September 2025.

Profit before tax (PBT) stood at Rs 192.40 crore, up 14.59%, compared to Rs 167.90 crore posted in the same quarter last year.

Total expenses increased 9.51% year on year to Rs 718.1 crore in Q2 FY26. The cost of raw material consumed stood at Rs 331.4 crore (up 7.11% YoY), while employee benefits expense was at Rs 126.5 crore (up 6.75% YoY).

On a half-year basis, the company?s consolidated net profit rose 10.38% to Rs 263.7 crore, while revenue increased 9.86% to Rs 1,708.6 crore in H1 FY26 compared with H1 FY25.

Shriram Pistons & Rings is engaged in the manufacturing of various products, such as pistons and piston pins, piston rings, and engine valves for various automotive companies in the domestic and export markets.

The counter rose 0.98% to Rs 2,699.25 on the BSE.
