The company said the certificate of incorporation was issued on 8 December 2025. The newly formed entity will, inter alia, evaluate investment opportunities in African markets, beginning with Nigeria, Uganda, and Zambia, with a focus on investment in commercial enterprises and management services.

The subsidiary?s initial share capital will be contributed in cash at face value, comprising 300 shares of AED 1,000 each.

Indus Towers confirmed that the new entity qualifies as a related party by virtue of being a wholly-owned subsidiary. Apart from this, the company stated that its promoters, promoter group, and group companies have no additional interest in the transaction.

In a regulatory filing issued on 3 November 2025, Bharti Airtel said that a special committee of directors had granted an enabling approval to acquire up to an additional 5% stake in Indus Towers, to be executed over time in one or more tranches.

Given its strategic importance, it is prudent for the parent company, Bharti Airtel, to continuously evaluate opportunities of consolidating its stake in Indus Towers, while maintaining its cash flow requirements for business capital expenditures and dividend payments, the telecom major said in the filing.

Airtel also clarified that any such acquisition would depend on prevailing market conditions, including liquidity and price, and would be in compliance with all applicable laws. As of the September quarter, Bharti Airtel held a 51.03% stake in Indus Towers.

Meannwhile, Indus Towers shares jumped 5.21% on 3 November 2025, after the Supreme Court on Monday clarified that the Union government can reassess and reconcile all Adjusted Gross Revenue (AGR) dues of Vodafone Idea up to FY2016-17 in line with the Deduction Verification Guidelines of February 2020, correcting an earlier order that appeared to limit the review to only ?additional? dues. The clarification came after Vodafone Idea?s plea, with the company?s counsel emphasizing it had sought a comprehensive reconciliation. The court had earlier left it to the Centre to decide on the AGR demand, with Solicitor General Tushar Mehta noting a ?huge change in circumstances? as the government now holds a 49% equity stake in the telecom operator. The ruling was viewed as a major positive for Indus Towers, given Vodafone Idea?s significant contribution to its revenue and the potential resumption of dividend payouts once financial pressures ease.

Indus Towers Ltd rose 3.25% today to trade at Rs 395.15. The BSE Telecommunication index is up 1.13% to quote at 3115.16. The index is up 8.92 % over last one month. Among the other constituents of the index, Bharti Hexacom Ltd increased 2.44% and Bharti Airtel Ltd added 2.21% on the day. The BSE Telecommunication index went up 9.77 % over last one year compared to the 6.62% surge in benchmark SENSEX.

The company said that Q2 FY26 had a write back of Rs 195 crore in provision for doubtful receivables, aided by collections against past overdue.

Consolidated EBITDA for Q2 FY26 was Rs. 4,613 crore, down 6.0% YoY. EBITDA margin for the period under review was 56.3%.

Profit before tax in Q2 FY26 stood at Rs 2,478 crore, down by 16.8% from Rs 2,980 crore posted in Q2 FY25.

Operating free cash flow for the September 2025 quarter was Rs 1,039 crore as against Rs 2,545 crore recorded in the September 2024 quarter.

The company had a total tower base of 256,074 units, with closing sharing factor of 1.62 as on 30 September 2025.
