Camlin Fine Sciences Ltd crashed 5.32% to Rs 103.68 at 14:44 IST.The stock was the biggest loser in the BSE's 'A' group.On the BSE, 78187 shares were traded on the counter so far as against the average daily volumes of 98653 shares in the past one month.

Le Travenues Technology Ltd tumbled 5.31% to Rs 169.45. The stock was the second biggest loser in 'A' group.On the BSE, 1.03 lakh shares were traded on the counter so far as against the average daily volumes of 99518 shares in the past one month.

CCL Products (India) Ltd lost 4.66% to Rs 1071. The stock was the third biggest loser in 'A' group.On the BSE, 74026 shares were traded on the counter so far as against the average daily volumes of 34630 shares in the past one month.

Vishal Mega Mart Ltd shed 4.63% to Rs 111.2. The stock was the fourth biggest loser in 'A' group.On the BSE, 5.89 lakh shares were traded on the counter so far as against the average daily volumes of 12.09 lakh shares in the past one month.

Kesoram Industries Ltd slipped 4.05% to Rs 10.89. The stock was the fifth biggest loser in 'A' group.On the BSE, 9 lakh shares were traded on the counter so far as against the average daily volumes of 1.83 lakh shares in the past one month.

Camlin Fine Sciences (CFSL) has completed the acquisition of on 27 November 2025, by way of contribution in kind, of a majority stake in the share capital of Vinpai (ISIN: FR001400AXT1; mn?monique : ALVIN) representing 78,68% of share capital et 84.89% of voting rights of Vinpai, at a price of Euro 3.60 per Vinpai share (block acquisition) from significant shareholders (sellers).

Additionally, CFSL was allotted 1,100,000 new ordinary shares of Vinpai on conversion of convertible bonds on 20 October 2025.

Following the block acquisition and conversion of convertible bonds, CFSL now holds 83.82% stake in Vinpai's share capital and 80.86% of its voting rights.

On 23 December 2025, CFSL had announced that it would file, by end of February 2026  a simplified cash tender offer (offre publique d'achat simplifi?e) (OPAS) with the French Stock Markets Authority (AMF) for the remaining shares of Vinpai, at the same price as that of the block acquisition, i.e. Euro 3.60 per Vinpai share.

However, due to administrative constraints specific to CFSL related to Indian foreign exchange regulations and due to the proximity of the announced publication date of Vinpai's 2025 annual financial statements on 16 April  2026, CFSL announces that it will have to postpone the filing of its OPAS with the purchase price per Vinpai share under the OPAS remaining at Euro 3.60.

Such filing would take place no later than early May 2026 so that the aforementioned Vinpai financial statements may be incorporated into the documentation relating to the OPAS, and into the independent expert's report.

Furthermore, CFSL is looking at the feasible options for restructuring of its group in Europe, to promote synergies among its European subsidiaries and strengthen its presence in Europe. In view of the same, CFSL wishes to keep Vinpai listed.

Consequently, CFSL announces that it no longer intends to implement a squeeze-out procedure for Vinpai shares from the Euronext Growth Paris market.

Maintaining this listing will allow Vinpai to retain market visibility and have access to the financial markets, ensuring its debt restructuring and supporting the financing of the project's development in Europe, that CFSL group may pursue in the future.

As per the disclosure, the pledge was created on 24 February 2026 in favour of HDFC Bank to facilitate borrowing by the company.

Following the transaction, the total number of shares encumbered by Ashish Dandekar stands at 88,00,000 shares, representing 4.58% of the company?s total equity. Prior to this, 70,00,000 shares, or 3.64% of the equity, were already pledged.

Ashish Dandekar holds 1,97,78,510 shares in the company, accounting for 10.30% of the total share capital, with about 44.5% of his personal holding currently pledged.

As of December 2025, promoters collectively held 48.03% in the company. The latest pledge alone represents 0.94% of the company's total equity.

Camlin Fine Sciences is a specialty chemicals company engaged in the research, development, manufacturing and marketing of a diversified portfolio spanning shelf-life solutions, aroma ingredients, performance chemicals, and health and wellness products, catering to multiple industrial and consumer segments.

On a consolidated basis, Camlin Fine Sciences reported net loss of Rs 36.23 crore in Q3 December 2025 as against net loss of Rs 4.14 crore in Q3 December 2024. Net sales rose 6.07% YoY to Rs 457.20 crore in Q3 December 2025.

Shares of Camlin Fine Sciences surged 6.72% to settle at Rs 148.50 on Friday, 27 February 2026.
