The board of Astra Microwave Products (AMPL) at its meeting held on 10 June 2026 has approved scheme of arrangement between AMPL and its wholly owned subsidiary Astra Space Technologies (ASTPL / Resulting Company) and their respective shareholders and creditors.

The said scheme involves demerger of Space, Meteorology and Hydrology Business (as defined in the Scheme) from AMPL into ASTPL on a going concern basis. ASTPL will issue shares to AMPL shareholders based on a determined share ratio, and the transaction will be carried out as a going concern in compliance with applicable laws and tax provisions.

Astra Microwave Products will hold a meeting of the Board of Directors of the Company on 10 June 2026.

Astra Microwave Products announced that the Board of Directors of the Company at its meeting held on 26 May 2026, inter alia, have recommended the final dividend of Rs 2.4 per equity Share (i.e. 120%) , subject to the approval of the shareholders.

Profit before tax rallied 42.29% to Rs 141.04 crore in Q4 FY26 as against Rs 99.12 crore reported in Q4 FY25.

Total expense jumped 10.88% year on year to Rs 353.25 crore during the quarter. The cost of materials consumed was Rs 188.21 crore (up 1% YoY), while employee benefits expense stood at Rs 58.06 crore (up 26.08% YoY) during the period under review.

The company has recommended a dividend of Rs 2.40 per equity share (120% of the face value of Rs 2 each) for FY26, subject to shareholders? approval at the ensuing AGM. The record date and AGM date for the dividend payout will be announced in due course.
