Amber Enterprises India announced that its material subsidiary, IL JIN Electronics (India) has acquired 80% stake in Shogini Technoarts on 01 December 2025 for a total purchase consideration of Rs 506 crore.

Consequently, Shogini has become a subsidiary of IL JIN and a step-down subsidiary of Amber Enterprises India.

 IL JIN Electronics (India) (IL JIN), a material subsidiary of Amber Enterprises India, has further acquired (Indirect) ordinary shares (0.96% stake) of Unitronics (1989) (RG) (Unitronics) through ILJIN Holding, an Israel-based wholly owned subsidiary of IL JIN.

The details of the aforesaid acquisitions are as under : ?h

• 04 November 2025 : Acquisition of 65,000 ordinary shares of Unitronics for a total consideration of NIS 1,598,350, at a price of NIS 24.59 per share. ?h
•  23 November 2025: Acquisition of 70,000 ordinary shares of Unitronics for a total consideration of NIS 1,721,300, at a price of NIS 24.59 per share.

Consequent to the above acquisitions, IL JIN, through its investment vehicle ILJIN Holding, now holds a 41.16% ownership stake in the equity share capital of Unitronics.

Devyani International Ltd plummeted 4.95% to Rs 147.95. The stock was the fifth biggest loser in 'A' group.On the BSE, 1.17 lakh shares were traded on the counter so far as against the average daily volumes of 66457 shares in the past one month.

Net loss of Amber Enterprises India reported to Rs 32.86 crore in the quarter ended September 2025 as against net profit of Rs 19.20 crore during the previous quarter ended September 2024. Sales declined 2.24% to Rs 1647.01 crore in the quarter ended September 2025 as against Rs 1684.70 crore during the previous quarter ended September 2024.
